BIOTIME Insider Membership Particulars

1. Membership Product

Membership name: INSIDER MEMBERSHIP

Type: Individual consumer membership

Active Membership Service Period: 12 months

Initial Presale Fee: THB 27,900 upfront

Initial onboarding: THB 2,900; included for the original INSIDER purchaser

Automatic renewal: No

Minimum age: 20 years

2. Initial Club

The initial Club is BIOTIME at 140 Witthayu Rd, Lumphini, Pathum Wan, Bangkok 10330, Thailand. No future or additional BIOTIME location is guaranteed unless expressly granted.

3. Presale and Opening

Expected opening: March 2027

Planning reference date: 15 March 2027

Long-Stop Opening Date: 31 May 2027

The expected opening is a target, not a guaranteed contractual date. If normal Membership operations have not commenced by 31 May 2027, the Member may continue waiting or cancel the affected Membership and receive a refund of the Membership Fee actually paid, subject to BT-MT-1.0 and applicable law.

If BIOTIME determines that the Club will not open and no reasonable agreed alternative can be provided, the affected Membership will be cancelled and the Membership Fee actually paid will be refunded.

4. Onboarding and Membership Start

Onboarding Window: 6 months from the actual Club Opening Date

The Membership Service Period does not begin on the Purchase Date. If onboarding is completed within the Onboarding Window, the 12-month Service Period begins on completion.

If onboarding is not completed by the end of the Window for reasons attributable to the Member, the Service Period automatically begins on the next calendar day. Later onboarding does not restart or extend it.

BIOTIME-caused delay, documented temporary medical circumstances and qualifying exceptional circumstances are handled under BT-MT-1.0.

5. Core Membership Benefits

Club access during published opening hours, subject to the Membership Agreement and Club Rules.

Use of intelligent training equipment and core fitness facilities included in INSIDER Membership, subject to availability and safety.

Required initial BIOTIME onboarding for the original INSIDER purchaser.

BIOTIME Sky Lounge access, subject to capacity, availability, events, maintenance and Club Rules.

INSIDER Recovery Benefit.

Eligibility for the INSIDER Renewal Benefit.

Coffee, protein drinks, other beverages, Personal Training, additional Recovery Sessions and optional products/services are not included unless expressly stated otherwise.

6. INSIDER Recovery Benefit

Included entitlement: Up to 2 Recovery Sessions per calendar month

Personal to the eligible original INSIDER Member; booking required; subject to availability and safety; no cash value; no carry-over; unused entitlement expires at month-end.

Cancellation at least 12 hours before the appointment normally restores the entitlement within the same month. Later cancellation or no-show may be treated as used. Additional sessions may be purchased separately.

7. INSIDER Renewal Benefit

Discount: 20% off the then-current regular standard price of a qualifying BIOTIME 12-month Membership

Renewal Window: 30 calendar days immediately preceding the current Membership End Date

The renewal must be purchased within the Renewal Window and commence immediately after expiry unless BIOTIME expressly agrees otherwise. If not exercised in time, the benefit expires.

It does not guarantee THB 27,900 and does not apply to PT, beverages, additional Recovery, retail, events, promotions or optional services unless expressly stated.

8. Freeze

Minimum: 30 consecutive days

Maximum aggregate: 90 days per Membership term

Initial INSIDER Freeze Fee: THB 0

Available principally for qualifying documented temporary medical inability or qualifying extended absence. During Freeze, active use rights and monthly benefits are suspended and Recovery does not accumulate. Subject to applicable law, the End Date extends by the approved Freeze Period.

9. Transfer

Membership transfer fee: THB 0

Transferee onboarding: Then-applicable new-Member fee; initially THB 2,900

Before onboarding/automatic commencement and while within the Onboarding Window, the transferee receives the full uncommenced 12-month Service Period. After the Service Period has begun, only the remaining unused term transfers.

Subject to mandatory law, the original Member's INSIDER Recovery Benefit and INSIDER Renewal Benefit do not transfer.

10. Cancellation and Refund Summary

The voluntary Presale cancellation arrangement in BT-MT-1.0 includes an initial seven-calendar-day opportunity where its conditions are satisfied. This does not replace or limit mandatory Thai cancellation, termination, cooling-off, medical termination, transfer or refund rights.

The order of precedence in BT-MT-1.0 applies to conflicting contractual provisions.

12. Member-Specific Checkout Record

At purchase, BIOTIME should retain or make reproducible the Member identity, Purchase Date, amount paid, Membership product, Presale tier, legal-document versions, acceptance timestamp and payment identifiers.
