BIOTIME Membership Terms

These Membership Terms govern consumer memberships offered under the BIOTIME brand by Amintara Group Co., Ltd., Thailand (“BIOTIME”, “we”, “us” or “our”).
They must be read together with the Member's applicable Membership Particulars, the BIOTIME Club Rules, and any other terms expressly incorporated into the Membership Agreement.
Nothing in these Membership Terms excludes or restricts any right or remedy that cannot lawfully be excluded or restricted under applicable Thai law.
1. Membership Agreement
1.1 Contracting parties
The Membership Agreement is between:
Amintara Group Co., Ltd., as operator of BIOTIME,
and the individual identified as the Member in the applicable Membership Particulars.
1.2 Contract documents
The Membership Agreement consists of:
1. the applicable Membership Particulars;
2. these Membership Terms;
3. the BIOTIME Club Rules; and
4. any additional terms expressly stated in the Membership Particulars to form part of the Membership Agreement.
The BIOTIME Terms of Use separately govern use of BIOTIME's website and digital services.
1.3 Order of precedence
If there is an inconsistency between documents forming the Membership Agreement, the following order applies unless mandatory law requires otherwise:
1. Membership Particulars;
2. these Membership Terms;
3. Club Rules;
4. specific service or promotion terms expressly incorporated into the Membership Agreement.
1.4 Consumer rights
These Membership Terms are intended to operate subject to applicable Thai consumer-protection law and other mandatory law. Any mandatory statutory right of a Member continues to apply notwithstanding anything in the Membership Agreement.
2. Eligibility
2.1 Minimum age
A Member must be at least 20 years old when entering into the Membership Agreement.
2.2 Personal Membership
Membership is issued to an identified individual.
The Member must provide accurate, current and complete information reasonably required for Membership administration.
2.3 Access credentials
Personal access credentials, including QR codes, accounts or other access mechanisms, may not be shared with another person.
This does not restrict the Member's right to make a formal transfer of the Membership in accordance with Section 12.
3. Membership Price and Payment
3.1 Membership Fee
The applicable Membership Fee, Membership type and included benefits are stated in the Membership Particulars.
3.2 Upfront payment
Unless expressly stated otherwise, the Membership Fee is payable upfront.
3.3 Taxes
Prices will be presented in accordance with applicable Thai tax and consumer-disclosure requirements. Any applicable taxes or charges will be disclosed as required by law.
3.4 Additional purchases
Products or services not expressly included in the Membership may be purchased separately at the prices applicable at the time of purchase.
This may include, without limitation:
additional Recovery Sessions;
Personal Training;
beverages;
food or retail products;
special events or services; and
other optional services.
Coffee, protein drinks and other beverages are not included in the Membership unless expressly stated otherwise in the applicable Membership Particulars or a specific promotion.
3.5 Duplicate payments
Where BIOTIME confirms that the same Membership purchase has been charged more than once in error, BIOTIME will reconcile the duplicate payment and, where appropriate, arrange a refund to the original payment method or another lawful method agreed with the Member.
A duplicate payment does not create additional Membership rights unless BIOTIME and the Member expressly agree otherwise.
4. Presale Memberships and Club Opening
This Section applies where a Membership is purchased before the applicable Club has opened for normal Membership operations.
4.1 Expected Opening
BIOTIME may communicate an expected or target opening date.
Unless expressly identified as a guaranteed contractual opening date, an expected opening date is an estimate and may change due to construction, fit-out, regulatory, building, supply, operational or other circumstances.
4.2 Long-Stop Opening Date
Where a Long-Stop Opening Date is specified in the Membership Particulars, BIOTIME will use reasonable efforts to commence Membership operations before that date.
4.3 Opening delay
If the Club has not commenced normal Membership operations by the Long-Stop Opening Date, the Member may elect either to:
(a) continue with the Membership and wait for the Club to open; or
(b) cancel the Membership and receive a refund of the Membership Fee actually paid for the affected Membership.
4.4 Project cancellation
If BIOTIME determines before the Long-Stop Opening Date that the relevant Club will not open and the Membership cannot reasonably be fulfilled through an agreed alternative, BIOTIME will cancel the affected Membership and refund the Membership Fee actually paid.
4.5 No loss of Membership term due solely to opening delay
The Membership Service Period will not begin merely because an expected opening date has passed. It begins in accordance with Section 5.
5. Onboarding and Membership Start
5.1 Onboarding requirement
Each new Member must complete the onboarding and pre-exercise requirements applicable to the Membership before commencing normal training.
Onboarding may include:
Member orientation;
equipment setup;
account or technology setup;
safety information;
pre-exercise screening;
training configuration; and
other reasonable steps required to use BIOTIME services safely and effectively.
5.2 Technogym account
Use of certain BIOTIME equipment and connected services requires the Member to create and maintain a separate Technogym account and to accept Technogym's applicable terms and privacy information directly with Technogym.
5.3 Onboarding Window
For an eligible Presale Membership, the Member will normally have six months from the actual Club Opening Date to complete required onboarding (“Onboarding Window”).
5.4 Membership Start Date following onboarding
Where the Member completes required onboarding within the Onboarding Window, the Member's Membership Service Period begins on the date the required onboarding is successfully completed (“Membership Start Date”).
5.5 Automatic Membership Start
If the Member has not completed required onboarding by the end of the Onboarding Window for reasons attributable to the Member, the Membership Service Period will automatically begin on the calendar day immediately following the end of the Onboarding Window.
The Member may subsequently complete onboarding, but later completion does not restart or extend the Membership Service Period.
5.6 BIOTIME-caused onboarding delay
Automatic commencement under Section 5.5 will not apply to the extent that the Member has made reasonable efforts to complete onboarding but BIOTIME has been unable to provide a reasonably available onboarding opportunity.
BIOTIME will make an appropriate adjustment so that the Member is not disadvantaged by a delay attributable to BIOTIME.
5.7 Medical or exceptional circumstances
Where documented temporary medical circumstances prevent the Member from reasonably completing onboarding during the Onboarding Window, BIOTIME may extend or adjust the onboarding arrangements as appropriate.
BIOTIME may also consider exceptional circumstances outside the Member's reasonable control on a case-by-case basis.
Ordinary scheduling preferences, workload, holidays, an existing membership with another fitness provider, or a failure to arrange onboarding without exceptional circumstances do not by themselves entitle the Member to an extension.
6. Membership Term
6.1 Duration
The Membership Service Period is the period stated in the Membership Particulars and will not exceed the maximum period permitted by applicable law.
For the INSIDER Membership, the intended active Membership Service Period is 12 months beginning on the Membership Start Date.
6.2 Membership End Date
BIOTIME will determine the Membership End Date from the Membership Start Date and applicable Membership term, subject to any lawful approved Freeze or other adjustment under the Membership Agreement.
6.3 No automatic renewal
Membership does not automatically renew at the end of the Membership Service Period.
BIOTIME will not automatically charge the Member for a further Membership term unless the Member separately enters into a future agreement that expressly provides otherwise and satisfies applicable law.
7. Access and Included Services
7.1 Club access
The Member may access the applicable BIOTIME Club during its published opening hours, subject to:
the Membership Agreement;
Club Rules;
safety requirements;
capacity;
temporary restrictions; and
the Member's Membership status.
7.2 Opening hours
BIOTIME may reasonably amend published Club opening hours.
Where practicable, material planned changes will be communicated in advance.
7.3 Equipment and services
Membership provides access to the equipment, facilities and services expressly included in the applicable Membership.
Membership does not guarantee uninterrupted access to any particular individual machine, equipment item, appointment time, seat, area or third-party digital service.
7.4 Sky Lounge
Where Sky Lounge access is included, access is subject to:
published availability;
capacity;
Club opening hours;
private or Member events;
maintenance;
safety requirements; and
Club Rules.
Membership does not guarantee seating or uninterrupted access to the Sky Lounge at all times.
8. Recovery Benefit
Where the Membership Particulars include the INSIDER Recovery Benefit, the following provisions apply.
8.1 Included Sessions
The eligible Member receives up to two included Recovery Sessions per calendar month.
8.2 Personal benefit
The Recovery Benefit is a personal promotional Membership benefit.
It:
may not be exchanged for cash;
may not be sold;
may not be separately assigned;
does not accumulate from month to month; and
expires at the end of each applicable calendar month if unused.
8.3 Booking and availability
Recovery Sessions require advance booking and remain subject to:
availability;
capacity;
equipment availability;
applicable safety requirements;
suitability for the relevant service; and
Recovery Service Rules.
8.4 Cancellation
Where the Member cancels an included Recovery booking at least 12 hours before the scheduled appointment, the applicable entitlement will normally be restored for use within the same calendar month.
Where cancellation occurs less than 12 hours before the appointment, or the Member does not attend, the session may be treated as used.
8.5 Additional Recovery Sessions
Additional Recovery Sessions may be purchased separately at the applicable price and subject to the applicable booking and service terms.
9. Temporary Closures and Service Changes
9.1 Temporary operational restrictions
BIOTIME may temporarily close or restrict all or part of the Club where reasonably necessary due to matters including:
cleaning;
maintenance;
equipment servicing;
repairs;
building management requirements;
Member or private events;
safety or security;
emergency circumstances;
utilities or infrastructure failures;
government or public-authority requirements;
circumstances beyond BIOTIME's reasonable control; or
force majeure.
9.2 Short-term interruption
A reasonable short-term interruption or restriction does not automatically entitle the Member to an extension, credit or refund.
9.3 Material interruption
Where an interruption is material or continues for a substantial period, BIOTIME will assess the circumstances fairly and provide any remedy required by applicable law, which may include an appropriate extension, credit, alternative access, cancellation or refund.
Nothing in this Section limits mandatory statutory rights.
10. Membership Freeze
10.1 Eligibility
A Member may request a temporary Freeze principally where:
(a) documented temporary medical circumstances materially prevent use of the Club; or
(b) the Member will be temporarily absent from Thailand or otherwise outside a reasonably accessible BIOTIME service area for at least 30 consecutive days.
BIOTIME may request reasonable supporting documentation.
10.2 Duration
Unless BIOTIME agrees otherwise due to exceptional circumstances:
minimum Freeze: 30 consecutive days;
maximum aggregate Freeze: 90 days per Membership term.
10.3 Effect of Freeze
During an approved Freeze:
Club access is suspended;
included Recovery Sessions are suspended;
booking and active Membership-use privileges are suspended; and
monthly benefits do not accumulate.
10.4 Membership End Date
Subject to applicable law, the Membership End Date will be extended by the approved Freeze Period so that an approved Freeze does not reduce the Member's paid period of active Membership access.
10.5 Freeze Fee
No Freeze Fee applies to the initial INSIDER Membership unless otherwise expressly agreed.
10.6 Mandatory termination rights preserved
A Freeze is an optional accommodation and does not replace or restrict any mandatory statutory right to terminate the Membership, including any applicable right arising from medical inability to use fitness services.
11. Cancellation and Refunds
11.1 Voluntary Presale Cancellation
In addition to any mandatory statutory rights, an eligible Member may request cancellation of an initial Presale Membership within seven calendar days of the Purchase Date where the Member has not yet completed onboarding or received another substantial individualized Membership service.
BIOTIME will refund the Membership Fee paid for the cancelled Membership in accordance with the applicable refund process.
11.2 Mandatory rights
Nothing in Section 11.1 limits any longer, different or additional cancellation, termination, cooling-off or refund right available under applicable Thai law.
11.3 Medical termination
Where applicable law gives the Member a right to terminate because the Member is medically unable to use the fitness services, BIOTIME will apply that right in accordance with applicable law and may request reasonable supporting evidence where legally permissible.
11.4 Material service failure
Where applicable law gives the Member a termination right because BIOTIME cannot provide facilities, equipment or services in accordance with the Membership Agreement or applicable legal requirements, that right remains unaffected.
11.5 Refund calculation
Where applicable law requires a refund for an unused portion of a Membership, BIOTIME will calculate and pay the refund in accordance with applicable law.
11.6 Refund timing
Refunds will be processed within any mandatory statutory period applicable to the relevant cancellation or termination.
11.7 Original payment method
Where reasonably practicable, refunds will be made to the original payment method. BIOTIME may use another lawful method where required or agreed.
12. Transfer of Membership
12.1 Right to transfer
The Member may transfer the Membership to another eligible individual in accordance with applicable law and the administrative process reasonably required to identify the transferee and implement the transfer.
The transfer of the Membership itself is not subject to a BIOTIME transfer fee.
12.2 Transfer before Membership Start Date
Where, at the effective date of transfer:
the original Member has not completed onboarding;
the Membership Service Period has not otherwise automatically commenced under Section 5.5; and
the Membership remains within the applicable Onboarding Window,
the transferee receives the full uncommenced Membership Service Period.
The transferee must complete their own onboarding within the remaining applicable Onboarding Window, subject to the Membership Agreement.
12.3 Transfer after Membership Start Date
Where the Membership Service Period has already commenced, whether through completed onboarding or automatic commencement under Section 5.5, the transferee receives only the remaining unused contractual Membership term.
A transfer does not restart the Membership Service Period or create a new 12-month term.
12.4 Transferee onboarding
The transferee must satisfy Membership eligibility requirements and complete their own required onboarding before commencing normal training.
The transferee is responsible for the then-applicable new-Member onboarding charge, initially THB 2,900, unless BIOTIME expressly waives or changes that charge.
This is a charge for the transferee's individual onboarding service and is not a fee for permission to transfer the Membership.
12.5 Personal promotional benefits
Unless mandatory law requires otherwise, personal promotional benefits awarded specifically to the original Member do not transfer with the underlying Membership.
For the INSIDER Membership, this includes:
the INSIDER Recovery Benefit; and
the INSIDER Renewal Benefit.
The transferee nevertheless receives the core Membership rights applicable to the remaining or, where Section 12.2 applies, full transferred Membership Service Period.
12.6 Effective transfer
BIOTIME will update the Membership record after receiving the information reasonably necessary to identify the transferee and administer the transfer.
The original Member may not continue using the transferred Membership after the transfer becomes effective.
13. Health, Safety and Exercise
13.1 Member responsibility
Exercise and fitness activities involve inherent physical risks.
Members are responsible for providing accurate information during applicable pre-exercise screening and for using reasonable judgment regarding their ability to participate.
13.2 Pre-exercise screening
Completion of applicable onboarding and pre-exercise screening is a condition of commencing normal exercise at BIOTIME.
13.3 Medical clearance
Where screening information, observed circumstances or other reasonable safety concerns indicate that participation may create an elevated risk, BIOTIME may require appropriate medical clearance before allowing the Member to begin or continue particular activities.
13.4 No medical diagnosis
BIOTIME staff do not diagnose medical conditions merely by conducting fitness onboarding, assisting with Technogym systems or providing general fitness services.
Members should obtain appropriate professional medical advice where required.
13.5 Instructions
Members must follow reasonable safety instructions provided by BIOTIME staff and instructions applicable to equipment and services.
13.6 Emergency response
In an apparent emergency, BIOTIME may take reasonable steps to obtain emergency assistance and provide information reasonably necessary for that purpose, subject to applicable law.
14. Technogym and Third-Party Technology
14.1 Technogym ecosystem
Certain BIOTIME equipment and services operate through the Technogym ecosystem.
The Member may be required to create and maintain a personal Technogym account and separately accept Technogym's applicable terms, privacy information and other requirements.
14.2 Separate Technogym relationship
A Technogym account is separate from the Member's BIOTIME account and Membership and may be usable independently of BIOTIME, including with compatible Technogym products or services outside BIOTIME.
14.3 Fitness and assessment information
BIOTIME's intended system architecture does not replicate Technogym fitness, assessment, body-composition, health-screening or workout datasets into BIOTIME's proprietary member database.
Authorized BIOTIME personnel may nevertheless access, input or use information within the Technogym/Mywellness environment where reasonably necessary to provide onboarding, fitness assistance, safety screening, training configuration or related Member services.
The processing of personal data in connection with Technogym services is further addressed in the applicable privacy information.
14.4 Third-party availability
BIOTIME does not guarantee that a third-party digital platform, application, cloud service or connected functionality will be continuously available or free from interruption.
Where a material third-party outage substantially affects BIOTIME's ability to provide the core Membership services for a significant period, BIOTIME will assess the circumstances fairly and provide any remedy required by applicable law.
14.5 Changes to third-party services
Third-party providers may modify their products, applications, functionality or technical requirements independently of BIOTIME.
BIOTIME may make reasonable adjustments to the way affected Membership services are delivered where necessary as a result, provided that BIOTIME does not use this provision to materially deprive the Member of the core Membership services for which the Member has paid.
15. Member Conduct and Access Suspension
15.1 Conduct standards
Members must behave respectfully and safely toward other Members, guests, staff, contractors and other persons at the Club.
Members must comply with the Club Rules and reasonable instructions relating to safety, security and proper operation of the Club.
15.2 Prohibited conduct
BIOTIME may take appropriate action in response to conduct including:
violence or threats of violence;
harassment, intimidation or abusive conduct;
theft, fraud or deliberate dishonesty;
intentional or reckless damage to property;
dangerous or deliberately improper use of equipment;
illegal activity;
serious disruption of Club operations;
unauthorized sharing or misuse of access credentials;
material interference with another person's privacy;
serious or repeated breaches of the Club Rules; or
conduct that creates a material safety or security risk.
15.3 Immediate access suspension
Where BIOTIME reasonably considers immediate action necessary to protect people, property, safety, security or Club operations, BIOTIME may temporarily suspend the Member's access with immediate effect while the matter is assessed.
An immediate access suspension is an operational safety measure and does not by itself constitute termination of the Membership Agreement.
15.4 Investigation and response
BIOTIME may reasonably investigate an incident and may request information from the Member.
Depending on the circumstances and subject to applicable law, BIOTIME may:
issue a warning;
impose reasonable safety conditions;
maintain or lift a temporary access suspension; or
take steps to terminate the Membership Agreement in accordance with Section 16.
16. Termination by BIOTIME
16.1 Termination subject to applicable law
BIOTIME may terminate a Membership only on grounds and through procedures permitted by applicable Thai law.
16.2 Grounds
Subject to applicable law, grounds may include a serious or repeated breach of the Membership Agreement, fraud, serious misconduct, serious safety or security violations, or other circumstances that lawfully justify termination.
16.3 Notice
Where applicable law requires BIOTIME to provide advance written notice before terminating a fitness Membership, BIOTIME will provide at least the legally required notice period.
Nothing in this Section prevents BIOTIME from imposing an immediate temporary access suspension under Section 15 where reasonably necessary for safety or security.
16.4 Refunds following BIOTIME termination
Any refund, deduction or other financial consequence following termination by BIOTIME will be determined in accordance with the Membership Agreement and applicable mandatory law.
BIOTIME will not impose a contractual forfeiture that is prohibited by applicable consumer law.
17. Relocation, Permanent Closure and Material Change
17.1 Initial Club
The initial Club for the INSIDER Membership is located at:
140 Witthayu Rd, Lumphini, Pathum Wan, Bangkok 10330, Thailand.
The precise floor, access route or internal Club configuration may be changed where reasonably necessary.
17.2 Relocation
BIOTIME may relocate the Club where reasonably necessary for operational, building, commercial, safety or other legitimate reasons.
Where the relocation remains within the same building or a reasonably comparable nearby location and does not materially impair the Member's practical ability to use the Membership, the Membership will ordinarily continue.
17.3 Material relocation
If a relocation materially disadvantages the Member or materially changes the contracted service, BIOTIME will provide any cancellation, refund or other remedy required by applicable law.
17.4 Permanent closure
If BIOTIME permanently closes the applicable Club and cannot reasonably provide an equivalent agreed alternative, the Member may exercise any cancellation and refund rights available under applicable law.
17.5 No guaranteed multi-club access
Unless expressly included in the Membership Particulars, Membership does not guarantee access to any future or additional BIOTIME location.
BIOTIME may voluntarily provide temporary or additional access to another location without thereby creating a permanent contractual multi-club entitlement.
18. INSIDER Renewal Benefit
This Section applies only where the Membership Particulars expressly include the INSIDER Renewal Benefit.
18.1 Benefit
The original eligible INSIDER Member may receive a 20% discount on the then-current regular standard price of a qualifying BIOTIME 12-month Membership when renewing in accordance with this Section.
18.2 Renewal Window
To use the INSIDER Renewal Benefit, the Member must purchase the qualifying renewal during the 30 calendar days immediately preceding the current Membership End Date.
The renewed Membership must commence immediately following expiry of the current Membership, unless BIOTIME expressly agrees otherwise.
18.3 Expiry of benefit
If the Member does not complete a qualifying renewal within the Renewal Window, the INSIDER Renewal Benefit expires.
There is no contractual right to reactivate the expired benefit at a later date.
18.4 Discount basis
The 20% discount applies to the regular standard price of the qualifying 12-month Membership applicable at the time of renewal.
It does not guarantee any fixed future Membership price and does not guarantee continued availability of the original THB 27,900 INSIDER Presale price.
18.5 Excluded products and services
Unless BIOTIME expressly states otherwise, the INSIDER Renewal Benefit does not apply to:
Personal Training;
beverages or food;
additional Recovery Sessions;
retail products;
event fees;
promotional packages;
other optional services; or
other Membership products that are not qualifying 12-month Memberships.
18.6 Personal benefit
The INSIDER Renewal Benefit is granted personally to the original qualifying INSIDER Member and, subject to mandatory law, does not transfer with the underlying Membership.
18.7 Future product changes
If BIOTIME no longer offers the same named 12-month Membership at the time of renewal, BIOTIME may identify a reasonably comparable qualifying standard 12-month Membership to which the INSIDER Renewal Benefit applies.
BIOTIME will not use a mere change of product name to arbitrarily deprive an otherwise qualifying Member of the Renewal Benefit.
19. Communications
19.1 Contact information
The Member must keep their primary contact information reasonably current so that BIOTIME can provide Membership and service communications.
19.2 Service communications
BIOTIME may use appropriate channels including email, LINE and transactional SMS to communicate matters reasonably necessary for the Membership relationship, including:
onboarding;
appointments;
Club opening information;
Membership status;
payments and receipts;
service interruptions;
safety or security information;
renewal reminders;
changes requiring Member notification; and
other operational or contractual communications.
19.3 Marketing communications
BIOTIME may also use permitted channels, including LINE, to provide promotions, recommendations, offers, events or information about additional products and services where BIOTIME has an appropriate legal basis to do so.
Marketing preferences and any required marketing consent are managed separately from essential Membership communications.
19.4 Marketing opt-out
A Member may withdraw or change marketing preferences through the mechanisms made available by BIOTIME.
Opting out of marketing does not prevent BIOTIME from sending necessary transactional, contractual, safety or service communications.
19.5 Formal notices
Where applicable law requires a particular notice to be in writing, delivered through a particular method, or provided within a particular period, BIOTIME and the Member must comply with that mandatory requirement.
20. Personal Property and Lost Property
20.1 Member responsibility
Members are responsible for taking reasonable care of their personal property and valuables while at the Club.
Members should not leave valuables unattended.
20.2 Liability
To the maximum extent permitted by applicable law, BIOTIME is not responsible for loss, theft or damage to personal property where the loss, theft or damage is not caused by conduct for which BIOTIME is legally liable.
Nothing in this provision excludes liability that cannot lawfully be excluded.
20.3 Found property
Property found at the Club may be retained for up to 30 days or another reasonable period stated in the applicable Club Rules or Lost Property procedures.
After the applicable retention period, unclaimed property may be disposed of, donated or otherwise handled reasonably, subject to applicable law.
21. Liability and Assumption of Ordinary Exercise Risk
21.1 Inherent risk
The Member acknowledges that exercise, strength training, cardiovascular training and recovery activities involve inherent physical risks, including the possibility of injury.
21.2 Reasonable care
Members must:
use equipment in accordance with instructions;
follow reasonable safety directions;
stop an activity where they experience concerning symptoms;
disclose information required through applicable safety screening accurately; and
seek appropriate medical advice where necessary.
21.3 BIOTIME responsibility
BIOTIME remains responsible to the extent required by applicable law for loss or injury caused by matters for which BIOTIME is legally liable.
21.4 No unlawful exclusion
Nothing in the Membership Agreement excludes or limits liability for fraud, wilful misconduct, or any other liability or consumer right that cannot lawfully be excluded or limited under Thai law.
21.5 Third-party services
Where a separate third party provides an independently contracted product or service, that third party's terms may also apply.
This does not remove any responsibility BIOTIME has under applicable law for BIOTIME's own acts or omissions.
22. Changes to Membership Terms and Club Rules
22.1 Operational changes
BIOTIME may make reasonable changes to Club Rules, operational procedures, booking processes, technology requirements and similar matters where necessary for:
safety;
security;
legal or regulatory compliance;
technology;
building operations;
service administration; or
reasonable improvement of Club operations.
22.2 Material contractual changes
BIOTIME will not rely on Section 22.1 to unilaterally remove a material paid Membership benefit or impose a materially adverse contractual change where doing so would be prohibited by applicable law.
22.3 Notice
Where a change materially affects Members and advance notice is reasonably practicable or legally required, BIOTIME will provide appropriate notice.
22.4 Mandatory rights
Any right of cancellation, refund or other remedy arising under mandatory law because of a contractual change remains unaffected.
23. Force Majeure and Events Beyond Reasonable Control
BIOTIME will not be treated as having failed to perform an obligation to the extent performance is temporarily prevented or materially affected by circumstances beyond its reasonable control, including natural disasters, serious building incidents, widespread utility failures, government restrictions, civil emergencies, epidemics or comparable events.
BIOTIME will take reasonable steps to mitigate the impact where practicable.
Where such circumstances materially prevent provision of the Membership services for a substantial period, BIOTIME will assess appropriate remedies in accordance with applicable law.
24. Privacy
BIOTIME processes personal data in accordance with applicable data-protection law and the BIOTIME Privacy Notice.
The Privacy Notice is an information notice and is not converted into a contractual consent merely by entering into the Membership Agreement.
Where a processing activity requires separate consent under applicable law, BIOTIME will obtain that consent separately.
Certain services provided through Technogym are also subject to Technogym's own privacy information and terms.
25. Governing Law and Disputes
25.1 Governing law
The Membership Agreement is governed by the laws of Thailand.
25.2 Consumer rights
Nothing in this Section restricts the Member from exercising rights or using complaint, regulatory, court or other dispute-resolution mechanisms available under applicable Thai law.
25.3 Good-faith resolution
Members are encouraged to contact BIOTIME first where they have a concern so that BIOTIME has an opportunity to investigate and seek a fair resolution.
26. Language
The Membership Agreement is made available in Thai and English.
The Thai-language version is intended to satisfy applicable Thai contractual and consumer-protection requirements.
If an inconsistency arises between the Thai and English versions, the Thai version will prevail to the extent permitted by applicable law, provided that this provision will not be interpreted to deprive the Member of any mandatory consumer right.
27. Severability
If any provision of the Membership Agreement is held invalid, unlawful or unenforceable, that provision will be interpreted or limited to the minimum extent necessary where legally possible.
The remaining provisions will continue to apply to the extent permitted by law.
28. No Waiver
A failure or delay by BIOTIME or the Member in exercising a contractual right does not automatically waive that right.
Any mandatory statutory right remains unaffected.
29. Entire Membership Agreement
The documents identified in Section 1 constitute the Membership Agreement concerning the Membership.
Nothing in this Section excludes any representation, disclosure or information that applicable law requires to form part of or affect the Membership Agreement.
BIOTIME sales personnel and marketing channels must not make representations inconsistent with the Membership Agreement.
30. Contact
Questions, Membership administration requests, cancellation requests, transfer requests, complaints and other notices should be directed through the official BIOTIME contact channels published on biotime.club.
Where applicable law requires a specific contact method or form of notice, that requirement will apply.
